Terms of Service

1. Agreement to These Terms

By creating an account or using Swiproll, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a legally binding agreement between you and Swiproll Technologies ("Swiproll", "we", "us", or "our"), a company based in Montreal, Quebec, Canada. If you are using Swiproll on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. The Service

Swiproll is a content tracking and management platform for creators, marketing teams, and agencies. The Service includes:

  • Content pipeline management
  • Idea Vault
  • Repurposing Engine
  • Sponsorship CRM
  • Asset Library
  • Publishing Checklist
  • Performance Analytics
  • Crew AI Assistant

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Accounts

Creating an account

You must provide accurate information when creating your account. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. If you believe your account has been compromised, notify us immediately at ben@swiproll.com.

Age requirement

You must be at least 16 years old to use Swiproll. If you are under 18, you represent that you have your parent or guardian's permission.

One account per person

Each account is for a single individual. You may not share your account with others or create accounts on behalf of others without their permission.

4. Plans and Pricing

Solo Plan (Free)

The Solo plan is free forever and includes:

  • 1 content pipeline
  • Up to 10 content records
  • Up to 15 ideas
  • Up to 20 historical archived records visible
  • Up to 2 active brand deals
  • 10 AI requests per month (resets 30 days from your signup date)
  • Basic analytics

Solo plan limits are enforced in the app. Exceeding a limit requires upgrading to Pro or making room by deleting existing records.

Pro Plan ($29/month)

The Pro plan includes:

  • Unlimited content pipelines
  • Unlimited content records
  • Unlimited ideas
  • Unlimited brand deals
  • Full archive access
  • 500 AI requests per month (resets 30 days from your subscription date)
  • Full analytics
  • Asset Library
  • Full Repurposing Engine
  • Full Sponsorship CRM

Pro Trial

New users may be eligible for a 7-day free Pro trial. During the trial:

  • You receive full Pro access with one exception: AI requests are capped at 20 total for the entire trial period (not per month).
  • No credit card is required to start a trial.
  • At the end of the trial, your account moves to the Solo plan unless you upgrade.

Pricing changes

We may change our pricing with at least 30 days' notice. If you are on an active paid subscription, the new price will apply at your next renewal date.

5. Payments and Billing

Payments are processed by Stripe. By subscribing to Pro, you authorize Stripe to charge your payment method on a recurring monthly basis. Your subscription renews automatically each month on the anniversary of your subscription start date. You can cancel at any time from Settings → Plan & Billing. Cancellation takes effect at the end of your current billing period — you retain access until then. We do not offer refunds for partial months or unused time unless required by applicable law. If your payment fails, we will notify you and attempt to retry. If payment is not resolved within a reasonable period, your account may be downgraded to the Solo plan.

6. Refund Policy

We offer refunds in the following circumstances:

  • If you are charged in error.
  • If the Service experiences significant downtime that materially affects your use during your billing period.
  • If required by applicable consumer protection law in your jurisdiction.

To request a refund, email ben@swiproll.com within 14 days of the charge. We will review your request and respond within 5 business days.

7. Your Content

Ownership

You own all content you create in Swiproll — your pipeline cards, ideas, brand deals, assets, and any other data you add. We do not claim ownership of your content.

License to us

By using the Service, you grant Swiproll a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the Service to you. We do not use your content for any other purpose.

Responsibility for your content

You are responsible for the content you create and store in Swiproll. You represent that your content does not violate any laws or third-party rights.

Data on account deletion

When you delete your account, we permanently delete all your content. We cannot recover deleted accounts or content.

8. AI Features

Swiproll includes Crew, an AI assistant powered by Anthropic's Claude API. AI requests are counted and limited based on your plan (see Section 4). Your conversations with Crew are sent to Anthropic for processing. See our Privacy Policy for details. Crew's responses are AI-generated and may contain inaccuracies. Do not rely on Crew for legal, financial, medical, or other professional advice. We are not responsible for decisions you make based on Crew's suggestions. You may not use Crew to generate content that violates our Acceptable Use Policy (Section 9).

9. Acceptable Use

You may not use Swiproll to:

  • Violate any applicable law or regulation.
  • Infringe on the intellectual property rights of others.
  • Upload or transmit malware, viruses, or harmful code.
  • Attempt to gain unauthorized access to any part of the Service or other users' accounts.
  • Scrape, crawl, or extract data from the Service through automated means.
  • Impersonate another person or organization.
  • Generate or store content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
  • Use the AI features to generate spam, disinformation, or content intended to deceive.

We reserve the right to suspend or terminate accounts that violate these rules.

10. Third-Party Services

Swiproll integrates with third-party services including Stripe, Google, Supabase, Resend, Anthropic, and Vercel. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of these third parties.

11. Intellectual Property

The Swiproll name, logo, product design, and all software underlying the Service are owned by Swiproll Technologies and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of our intellectual property without our written permission.

12. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that:

  • The Service will be uninterrupted or error-free.
  • Defects will be corrected.
  • The Service or the servers that make it available are free of viruses or harmful components.
  • The results obtained from using the Service will be accurate or reliable.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Swiproll Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising out of or related to your use of the Service. Our total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 CAD if you are on the free Solo plan. Nothing in these Terms limits liability that cannot be limited under applicable law.

14. Indemnification

You agree to indemnify and hold harmless Swiproll Technologies and its officers, directors, employees, and agents from any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your content, or your violation of these Terms.

15. Termination

By you

You may cancel your account at any time from Settings → Danger Zone. Cancellation is immediate and all your data will be permanently deleted.

By us

We may suspend or terminate your account if you violate these Terms, if your payment fails and is not resolved, or if required by law. We will provide reasonable notice where possible.

Effect of termination

Upon termination, your right to use the Service ends immediately. Sections 7, 11, 12, 13, 14, and 16 survive termination.

16. Governing Law and Disputes

These Terms are governed by the laws of the Province of Quebec, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising out of or related to these Terms or the Service will be resolved through good faith negotiation between the parties. If we cannot resolve the dispute informally, it will be submitted to the courts of competent jurisdiction in Montreal, Quebec, Canada. If you are a consumer resident in the European Union, you may also have the right to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by a notice inside the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.

18. General

  • Entire agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and Swiproll regarding the Service.
  • Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force.
  • No waiver — Our failure to enforce any right or provision of these Terms is not a waiver of that right.
  • Assignment — You may not assign your rights under these Terms without our written consent. We may assign our rights to a successor entity.
  • Language — These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version prevails.
